Board Responsibilities: Authority and Accountability
The Saudi Public Contributions System emphasizes that the company's board of directors bears a high legal responsibility, including oversight of financial statements and disclosures. Board members may face fines and compensations if proven to have provided false financial information that led to inflated revenues or harmed the company's financial position. Practical examples demonstrate that this responsibility is not limited to executive management alone but also extends to board members, who must exercise diligent oversight, careful monitoring, and document decisions and member objections to ensure transparency. The regulations also provide mechanisms for holding board members accountable and affirm that board membership requires an effective supervisory role to protect shareholders' rights and ensure compliance with regulations.
